Welcome to IPC Global. These Terms of Service ("Terms", "Agreement") govern your use of our website located at www.ipc-global.com (together or individually "Service") operated by InProcess Consulting LLC, doing business as IPC Global ("IPC Global", "us", "we", or "our").
Please read these Terms of Service carefully before using our Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Service.

These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and IPC Global, concerning your access to and use of the Service. You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms.

IPC Global provides data analytics and business intelligence consulting services, including but not limited to:
Advisory services for data strategy and analytics transformation
Data science and artificial intelligence solutions
Consulting and implementation services for business intelligence platforms
Managed services for ongoing analytics support and optimization
Training services and educational programs
Qlik platform implementation, integration, and support services
AWS cloud services and marketplace solutions
Custom analytics applications and solutions
We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.
User Accounts and Registration
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization.
Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of IPC Global and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of IPC Global.
Unless otherwise indicated, the Service and all content and other materials therein, including, without limitation, the IPC Global logo and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, "Content") are the proprietary property of IPC Global or our affiliates, licensors, or users, as applicable.
You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Content for your personal or internal business use. Such license is subject to these Terms and does not permit you to engage in any of the following: resale or commercial use of the Service or Content, modification, reproduction, distribution, or creation of derivative works based upon the Service or Content, or any use of data mining, robots, or similar data gathering and extraction methods.
Acceptable Use and Conduct
You agree not to use the Service:
In any way that violates any applicable national or international law or regulation
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
To impersonate or attempt to impersonate IPC Global, an IPC Global employee, another user, or any other person or entity
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm IPC Global or users of the Service
To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
Payment Terms and Fees
Certain aspects of the Service may be provided for a fee or other charge. If you elect to use paid aspects of the Service, you agree to the pricing and payment terms as provided on our website or as otherwise agreed upon in a separate written agreement.
IPC Global reserves the right to change its prices and fees at any time. We will provide you with advance notice of any price changes. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the changed amount.
All fees are non-refundable unless otherwise specified in a separate written agreement. Payment terms are typically net 30 days from invoice date unless otherwise agreed. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.
You are responsible for all taxes, duties, and assessments associated with your use of the Service, excluding taxes based on IPC Global's net income.
Professional Services Engagements
Professional services engagements, including consulting, implementation, managed services, and training, are governed by separate statements of work or master services agreements. These Terms supplement but do not replace such agreements.
IPC Global will use commercially reasonable efforts to deliver services in accordance with agreed-upon timelines and specifications. However, delivery dates are estimates only and IPC Global will not be liable for any delays in delivery.
Client responsibilities, including timely provision of access, information, and approvals, are essential to successful project delivery. Delays caused by client actions or inactions may result in schedule adjustments and additional fees.
Third-Party Services and Links
Our Service may contain links to third-party websites or services that are not owned or controlled by IPC Global. These may include but are not limited to Qlik, AWS, Google Analytics, Facebook, LinkedIn, Active Campaign, and other technology partners.
IPC Global has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that IPC Global shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or use.
Confidentiality
Each party acknowledges that it may receive confidential and proprietary information of the other party. Each party agrees to protect the confidentiality of such information and not to disclose it to third parties or use it for any purpose other than as necessary to fulfill its obligations under these Terms or any related agreement.
This obligation does not apply to information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law.
Warranties and Disclaimers
IPC Global warrants that professional services will be performed in a professional and workmanlike manner consistent with industry standards. For any breach of this warranty, IPC Global's sole obligation and your exclusive remedy will be the re-performance of the deficient services or, if IPC Global cannot substantially correct a breach in a commercially reasonable manner, you may terminate the relevant statement of work and receive a refund of any prepaid fees for the terminated portion of services.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
IPC Global disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
IPC Global does not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.
IPC Global does not warrant or make any representations regarding the use or the results of the use of the Service in terms of correctness, accuracy, reliability, or otherwise.
You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IPC GLOBAL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Your access to or use of or inability to access or use the Service
Any conduct or content of any third party on the Service
Any content obtained from the Service
Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL IPC GLOBAL'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO IPC GLOBAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE THOUSAND DOLLARS ($1,000), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless IPC Global, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any use of the Service's content, services, and products other than as expressly authorized in the
Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or contact us at sales@ipc-global.com.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Fulton County, Georgia, and the parties irrevocably consent to the personal jurisdiction and venue therein.
Dispute Resolution
In the event of any controversy or claim arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt to resolve the dispute through good faith negotiations.
If the parties cannot resolve the dispute through negotiations within thirty (30) days, either party may pursue any remedies available at law or in equity. For enterprise clients with separate master services agreements, the dispute resolution provisions in such agreements shall prevail.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
Severability and Waiver
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
No waiver by IPC Global of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of IPC Global to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and IPC Global regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements between you and IPC Global. You may be subject to additional terms and conditions that apply when you use or purchase certain other IPC Global services, affiliate services, third-party content, or third-party software.
